This document applies to U.S. Persons and U.S. residents. Financial services in the United States are provided exclusively by Bridge Ventures, LLC (NMLS #2450917), a licensed money transmitter.


Preamble

This OSMO United States Supplement (the “Supplement”) describes the relationship between OSMO and Bridge Ventures, LLC (“Bridge”) with respect to the OSMO platform when used by individuals who are U.S. Persons or who reside in the United States of America (the “United States” or “U.S.”). This Supplement is provided by HODL Group LLC, a Wyoming limited liability company doing business under the brand “OSMO” (collectively with its subsidiaries and affiliates, “OSMO” or the “Platform”). OSMO operates the domain osmomoney.com and related mobile applications.

This Supplement is not a standalone agreement for financial services. The financial services accessed by U.S. users through the OSMO Platform — including money transmission, custody of fiat balances, custody of stablecoins, virtual asset services, and U.S. dollar virtual accounts — are provided exclusively by Bridge under its money transmission licenses and regulatory authorizations in the United States. As a condition of accessing any such financial services through the OSMO Platform, you must separately agree to and accept Bridge’s Terms of Service, Privacy Policy, and any other applicable Bridge agreements (collectively, the “Bridge Terms”). The Bridge Terms govern your contractual relationship with Bridge for all financial services.

By using the OSMO Platform as a U.S. Person or U.S. resident, you acknowledge and agree that: (i) you have read, understood, and accepted this Supplement; (ii) you have separately entered into and agreed to the Bridge Terms; and (iii) the Bridge Terms control with respect to the financial services provided to you by Bridge.


1. Scope and Purpose of This Supplement

The purpose of this Supplement is to provide transparency to U.S. users regarding:

(a) The roles of OSMO and Bridge in the delivery of services;

(b) The fact that HODL Group LLC and its Latin American subsidiaries do not provide financial services to U.S. Persons or U.S. residents; and

(c) The U.S.-specific terms, disclosures, and disclaimers applicable to the use of the OSMO Platform by U.S. users.

This Supplement applies in addition to, and not in lieu of, the Bridge Terms. To the extent of any conflict between this Supplement and the Bridge Terms with respect to financial services, the Bridge Terms shall control. To the extent of any conflict between this Supplement and the general OSMO Terms and Conditions published by HODL Group LLC or its subsidiaries (the “OSMO General Terms”) with respect to a U.S. user, this Supplement shall control.


2. About OSMO and HODL Group LLC

OSMO is a brand and technology platform operated by HODL Group LLC, a financial technology company organized under the laws of the State of Wyoming, United States of America. HODL Group LLC is not a bank, does not take deposits from the public, and does not engage in financial intermediation in any jurisdiction. HODL Group LLC is a technology provider; it does not transmit money, custody fiat balances, or provide virtual asset services to U.S. Persons.

OSMO operates through regional subsidiaries and regulated partners in each jurisdiction where it provides services. The OSMO Platform functions as an embedded finance marketplace.

In the United States, all financial services made available through the OSMO Platform are provided by Bridge Ventures, LLC through its operating entity Bridge Building Inc (NMLS #2450917), a money transmitter licensed in forty-nine (49) U.S. states.


3. Services Provided by Bridge to U.S. Users

The following services, when accessed by U.S. Persons or U.S. residents through the OSMO Platform, are provided exclusively by Bridge:

(a) Money transmission: in any U.S. state where Bridge holds a Money Transmitter License (MTL);

(b) Custody of U.S. dollar balances: in pooled or segregated accounts at Bridge’s partner banks;

(c) U.S. dollar virtual accounts: virtual account numbers and routing numbers enabling ACH and wire transfers;

(d) Stablecoin services: conversion, custody, and transfer of USDC and other stablecoins authorized by Bridge;

(e) Cross-border transfers: international money transfers to recipients in jurisdictions where Bridge is authorized to operate;

(f) Any other regulated financial service that may be added by Bridge in the future and made available through the OSMO Platform.

The currencies and digital assets available to U.S. users are currently limited to U.S. dollars (USD) and USD-pegged stablecoins (USDC).


4. Services Provided by OSMO to U.S. Users

OSMO (through HODL Group LLC) provides U.S. users with the following non-financial services:

(a) Software and user interface;

(b) Account onboarding and identity verification support;

(c) Customer support: tier-one customer service;

(d) Brand, marketing, and product design.

OSMO does not hold customer funds, transmit money, custody digital assets, or otherwise act as a regulated financial institution for U.S. users. All such functions are performed by Bridge.


5. OSMO Visa Card

The OSMO Visa Card is issued by Rain (Signify Holdings, Inc.), a Visa Principal Member. The OSMO Visa Card, when available to U.S. users, is governed by the Cardholder Agreement and other terms published by Rain and/or its issuing bank partner. OSMO and Bridge are not the issuers of the OSMO Visa Card.


6. No Services by HODL Group LLC or Latin American Subsidiaries to U.S. Persons

HODL Group LLC, Osmo Guatemala, S.A., Osmo El Salvador, S.A. de C.V., Osmo Costa Rica, S.A., and any other Latin American subsidiary or affiliate of HODL Group LLC do NOT provide, offer, or solicit financial services, money transmission, custody, virtual asset services, or any other regulated financial service to U.S. Persons or U.S. residents.

If you are a U.S. Person or U.S. resident, your sole counterparty for financial services accessed through the OSMO Platform is Bridge.


7. Eligibility for U.S. Users

To use the OSMO Platform as a U.S. user, you represent and warrant that:

(a) You are at least eighteen (18) years of age;

(b) You are a U.S. Person or a lawful U.S. resident;

(c) You have the legal capacity to enter into a binding agreement under the laws of your state of residence;

(d) You are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions administered by the Office of Foreign Assets Control (OFAC);

(e) You are not listed on any U.S. government list of prohibited or restricted parties;

(f) You have separately agreed to the Bridge Terms;

(g) You will use the OSMO Platform and the services provided by Bridge for lawful purposes and in accordance with all applicable U.S. federal, state, and local laws.


8. Regulatory Disclosures

8.1 Bridge — Licensed Money Transmitter

Bridge Building Inc (NMLS #2450917) is a licensed money transmitter in forty-nine (49) U.S. states. Bridge is registered with the Financial Crimes Enforcement Network (FinCEN) as a Money Services Business (MSB).

8.2 Bridge — Not a Bank; No FDIC Insurance

Bridge is a financial technology company, not a bank. Funds held by Bridge on your behalf are not bank deposits and are not insured by the Federal Deposit Insurance Corporation (FDIC) in your name, except where Bridge’s partner banks expressly provide pass-through FDIC insurance for funds held in custodial accounts and the conditions for such pass-through insurance are met.

Digital assets, including stablecoins, are not insured by the FDIC or by the Securities Investor Protection Corporation (SIPC).

8.3 State-Specific Disclosures

Certain U.S. states require specific consumer disclosures with respect to money transmission services. Such disclosures are provided directly by Bridge in the Bridge Terms and within the OSMO Platform user interface, including for California, New York, Texas, Florida and other states as required by the applicable state regulator.

8.4 Error Resolution Rights — Regulation E

To the extent applicable, U.S. users who hold funds with Bridge are entitled to the error resolution and unauthorized transaction protections set forth in the Electronic Fund Transfer Act and Regulation E (12 C.F.R. Part 1005).

8.5 Privacy — Gramm-Leach-Bliley Act

Bridge’s collection, use, and sharing of your nonpublic personal financial information is governed by Bridge’s privacy notice, provided in accordance with the Gramm-Leach-Bliley Act (GLBA). OSMO’s own collection and use of your personal information is governed by the OSMO Privacy Policy available at osmomoney.notion.site/politica-privacidad.


9. Digital Assets — Risk Disclosure

You acknowledge and accept that digital assets are subject to substantial risk, including but not limited to:

(a) High volatility and the potential for total loss of value;

(b) Irreversibility of on-chain transactions once confirmed;

(c) Technological risks;

(d) Depegging risk: stablecoins may lose their peg;

(e) Regulatory risk;

(f) No FDIC or SIPC insurance.

Digital assets are not legal tender in the United States and are not backed by any government.


10. Prohibited Uses

In addition to the prohibited uses set forth in the Bridge Terms, you agree not to use the OSMO Platform for any activity that violates U.S. law, money laundering, terrorist financing, sanctions evasion, fraud, identity theft, unlawful gambling, the purchase or sale of weapons, narcotics, child sexual abuse material, cryptocurrency mixers or tumblers, intellectual property infringement, or interference with the operation of the OSMO Platform.


11. Intellectual Property

All intellectual property rights in the OSMO Platform are the exclusive property of HODL Group LLC and/or its licensors.


12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OSMO PLATFORM AND ALL SERVICES PROVIDED THEREUNDER ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HODL GROUP LLC, OSMO, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

The total aggregate liability of HODL Group LLC and OSMO to you for any and all claims arising out of or relating to this Supplement or your use of the OSMO Platform shall not exceed the greater of: (i) the total fees paid by you to HODL Group LLC in the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred U.S. dollars (US$100).

The liability of Bridge with respect to financial services is governed exclusively by the Bridge Terms.


14. Indemnification

You agree to indemnify, defend, and hold harmless HODL Group LLC, OSMO, and their respective officers, directors, employees, agents, affiliates, and licensors (including, without limitation, Bridge, Rain, and Signify Holdings, Inc.) from and against any and all claims, demands, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the OSMO Platform, your breach of this Supplement or the Bridge Terms, your violation of any third-party rights, your negligence, fraud, willful misconduct, or unlawful acts, or any false or misleading information provided by you.


15. Arbitration Agreement and Class Action Waiver

15.1 Agreement to Arbitrate

YOU AND OSMO AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS SUPPLEMENT OR YOUR USE OF THE OSMO PLATFORM (A “DISPUTE”) SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, rather than in court, except as set forth in Section 15.5. This arbitration agreement is governed by the Federal Arbitration Act (FAA), 9 U.S.C. §§ 1 et seq.

15.2 Arbitration Rules and Forum

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with the AAA Consumer Arbitration Rules then in effect, available at www.adr.org. The arbitration shall be conducted by a single arbitrator. The seat and legal place of arbitration shall be the State of Delaware, United States.

15.3 Class Action Waiver

YOU AND OSMO AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

15.4 Jury Trial Waiver

YOU AND OSMO HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY in any action, proceeding, or counterclaim arising out of or relating to this Supplement.

15.5 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court in lieu of arbitration, and either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to enforce the class action waiver.

15.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@osmomoney.com within thirty (30) days after first becoming subject to this Supplement.

15.7 30-Day Notice and Negotiation

Before initiating arbitration, the party asserting a Dispute shall provide written notice to the other party at legal@osmomoney.com (for OSMO) describing the Dispute and the relief sought. The parties shall engage in good-faith negotiation for at least thirty (30) days before initiating arbitration.


16. Governing Law and Venue

This Supplement and any Dispute (other than as governed by the FAA pursuant to Section 15) shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to Section 15, the state and federal courts located in Delaware shall have exclusive jurisdiction over any non-arbitrable Dispute.


17. Termination

You may terminate your use of the OSMO Platform at any time by ceasing to access the Platform and closing your account through the procedures set forth in the Bridge Terms (for financial-service-related closure) and the OSMO Platform user interface (for account deletion). HODL Group LLC may terminate or suspend your access to the OSMO Platform at any time, with or without cause, by providing notice as required by applicable law and the Bridge Terms.

Upon termination, your data will be retained for a period of five (5) years in accordance with applicable U.S. recordkeeping requirements, including the Bank Secrecy Act and FinCEN recordkeeping requirements.


18. Modifications

OSMO may modify this Supplement at any time by posting the revised Supplement at osmomoney.com. Material changes will be notified to you via email or in-Platform notification. Your continued use of the OSMO Platform after the effective date of any modification constitutes your acceptance of the modified Supplement.

Notices to you will be sent to the email address associated with your OSMO account or via in-Platform notification. Notices to OSMO must be sent to legal@osmomoney.com.
